1. Acceptance of Terms
By accessing or using uyaalak, you agree to these Terms of Service in full. If you do not agree with these terms, do not use the service. To use uyaalak, you must be at least 18 years of age and be a licensed healthcare professional or authorized staff of a healthcare practice.
2. Service Description
uyaalak is a cloud-based medical practice management platform. Its features include: AI-powered consultation transcription, SOAP clinical note generation, patient record management, appointment scheduling, WhatsApp patient communication, and prescription generation.
The service is provided "as is" and may be updated, modified, or discontinued at any time.
uyaalak is NOT a medical device and does NOT provide medical diagnoses, recommendations, or treatment plans. AI-generated content (transcriptions, SOAP notes, ICD codes) are suggestions that MUST be reviewed and approved by the healthcare professional before use. The healthcare professional retains full clinical responsibility for all patient care decisions.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when registering, and notify us immediately of any unauthorized use. Each account is personal and non-transferable โ one account per person.
4. Acceptable Use
When using uyaalak, you agree to: use the service only for lawful purposes related to healthcare practice management; not store data unrelated to healthcare practice; not attempt to reverse engineer, decompile, or compromise the security of the service; not use automated scripts or bots to access the service; not share your account with unauthorized persons; not use the service in any way that violates applicable healthcare regulations; and comply with all applicable laws regarding patient data and informed consent.
5. Clinical Responsibility
uyaalak is a tool to assist healthcare professionals, NOT a substitute for professional judgment.
AI-generated transcriptions, SOAP notes, and diagnostic codes are SUGGESTIONS ONLY. The healthcare professional is solely responsible for reviewing, editing, and approving all AI-generated content before it becomes part of the patient record.
The healthcare professional is responsible for obtaining patient consent for audio recording of consultations.
uyaalak is not responsible for clinical decisions made based on AI-generated content. The healthcare professional must comply with applicable medical regulations and standards of care.
6. Data Ownership and Intellectual Property
Patient data belongs to the patient. The healthcare professional acts as custodian of patient data. uyaalak is a data processor โ we do not claim ownership of any patient data.
The uyaalak platform, including its code, design, and branding, is the intellectual property of uyaalak. You may not copy, modify, or distribute any part of the platform.
7. Plans and Payments
Current pricing is displayed at uyaalak.com/precios. Payments are processed by Paddle as Merchant of Record. Paddle handles billing, invoicing, tax compliance, and refunds.
The free plan requires no payment and includes limited AI minutes and WhatsApp messages. The Pro plan is a monthly subscription that auto-renews unless cancelled. Pro plan overages are billed at published rates with configurable caps.
We may change pricing with 30 days advance notice. The refund policy is managed by Paddle per their own terms.
8. Service Availability
We strive for high availability but do not guarantee 100% uptime. We may perform maintenance with reasonable notice. We are not responsible for interruptions caused by third-party services, internet connectivity, or force majeure. In case of extended outages, we will communicate with users via email.
9. Limitation of Liability
uyaalak is provided "as is" and "as available." We do not guarantee the accuracy of AI-generated transcriptions or clinical notes. We are not liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount you paid for the service in the preceding 12 months. We are not liable for any clinical outcomes resulting from use of the service.
10. Indemnification
You agree to indemnify and hold harmless uyaalak from any claims arising from your use of the service, violation of these terms, or violation of applicable laws or regulations.
11. Termination
You may cancel your account at any time. We reserve the right to suspend or terminate accounts that violate these terms. Upon cancellation, you may request data export within 30 days. After 30 days, data may be deleted per our retention policy.
Provisions that by their nature should survive termination (limitation of liability, indemnification, data ownership) will remain in effect.
12. Governing Law and Disputes
These terms are governed by the laws of the Republic of Guatemala. Disputes will be resolved through arbitration or before the competent courts of Guatemala City, Guatemala. Before initiating any legal action, the parties agree to attempt to resolve the dispute through direct communication.
13. Changes to Terms
We may update these terms from time to time. We will notify users of significant changes via email or in-app notification. Continued use of the service after changes constitutes acceptance of the updated terms. If you disagree with the changes, you must stop using the service.
